Zyvex names new President and Board of Directors

Richardson, Texas (December 15, 2003)

Zyvex Corporation today announced that Dr. Thomas A. Cellucci, Mr. Donald A. DeVito II, and Dr. Malcolm R. O’Neill have been elected to its Board of Directors. Dr. Cellucci was also elected as President. Re-elected officers are Chairman of the Board and CEO, James R. Von Ehr II; Chief Financial Officer, Secretary, and Vice President of Operations, Timothy M. Gilmore; and Chief Technical Officer, Dr. John Randall.

Zyvex’s new President, Dr. Cellucci, is also Zyvex’s Chief Operating Officer. His new title is President and COO. Mr. DeVito is Senior Vice President of Morgan Stanley. Dr. O’Neill is Vice President and Chief Technical Officer of Lockheed Martin Corporation.

Each of them brings unique professional competencies and exceptional business experience.”

Mr. DeVito is responsible for developing Morgan Stanley’s investment banking and corporate finance initiatives in the Capital Region of New York, as well as overseeing the management of client portfolios. He has spent over 22 years as a Financial Advisor, Registered Investment Advisor, and Municipal Finance Professional in Albany, New York. He also serves as the CEO and President for Auxilia Corporation. He recently created the New York State Council for Defense Contractors and serves as founding Chairman. The Council focuses on issues related to service providers for National Defense Agencies.

In 1996, after retiring as a three-star general from the United States Army, Dr. O’Neill joined Lockheed Martin to serve as Vice President, Mission Success, Operations and Best Practices in Space Systems. During the period of 1996-99, he was responsible for providing leadership and functional direction of operational matters for Space Systems as they concerned mission success, program management, procurement, manufacturing, materials management, and product assurance.

Dr. Cellucci joined Zyvex in 2002. He is internationally recognized for Cellucci Associates, Inc., a highly successful management consulting firm that was primarily engaged in raising capital and providing strategic business services to high-tech global firms. He was President and CEO of Etec, Inc. (Peabody, MA) and Executive Vice President and General Manager of Integrated Dynamics Engineering (Westwood, MA and Raunheim, Germany). He was Senior Director at the Newport Corporation (Irvine, CA) and a research chemist for Shell Oil Company (Houston, TX). He has written over 95 articles on nanotechnology, environmental disturbance control, laser physics, photonics, MEMS test and measurement, and high-tech sales and marketing. 

Dr. Cellucci graduated from the University of Pennsylvania with a PhD in Physical Chemistry. He received his Bachelor of Science degree in Chemistry from Fordham University (Bronx, NY) and his MBA in Strategic Management and Marketing from Rutgers University (Camden, NJ). He is on the Board of Directors of the Laser Institute of America and Edmund Industrial Optics, and is a special advisor to the board of MANCEF, a member of the United States Senatorial Trust, and an editorial board member for “Nanotechnology Law and Business.” He is frequently invited to speak at business schools and conferences.

Mr. DeVito received his Bachelor of Science degree in Finance from Siena College (Loudonville, NY) and is a graduate of the School of Advanced Financial Management. He is Chairman of the Center for the Disabled Commercial Services Board and a Director on both the Center for the Disabled Governing Board and Foundation Board. He is a board member for the Center for Economic Growth and Chair of the Global Trends Committee. He was also the Mayor of Delanson, New York and Deputy Supervisor and Councilman of Duanesburg, New York.

Dr. O’Neill graduated from Rice University (Houston, TX) with a Master of Arts and PhD in Physics. He received his Bachelor of Science in Physics from De Paul University (Chicago, IL). He held numerous prominent positions during his military career including Director, Ballistic Missile Defense Organization; Deputy Director, Strategic Defense Initiative Organization; Director, Army Acquisition Corps; Commander, Army Laboratory Command; and Deputy for Program Assessment and International Cooperation, Office of the Assistant Secretary of the Army (Research, Development and Acquisition). He served as Project Manager, Multiple Launched Rocket System; Deputy Project Manager, NATO Patriot Systems; and Program Manager, Strategic Fire Control Systems, Defense Advanced Research Projects Agency.

The new board structure is an integral part of Zyvex’s mission of providing flexible, automated manufacturing at ever decreasing size scales.
